MEETWISE TERMS OF USE

Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the websites, mobile applications, web applications, admin portals, QR-enabled services, workspace features, communication tools, event tools, meeting tools, feeds, groups, polls, scheduling tools, and related services offered by MeetWise Canada Technologies Inc. (“MeetWise,” “we,” “us,” or “our”).Related Entities and India Support

MeetWise may be operated, supported, developed, licensed, maintained, or made available through related entities, affiliates, contractors, service providers, or technology partners, including MeetWise Canada Technologies Inc. in Canada and Computers Infinite in India. MeetWise Canada Technologies Inc. remains responsible for the MeetWise-branded Services offered through meetwiseapp.ca, meetwiseapp.com, related login experiences, admin portals, mobile applications, QR-enabled services, workspace features, and related services, unless another entity is clearly identified as the service provider for a specific territory, agreement, platform, product, or feature.Computers Infinite or other related entities may provide development, technical support, operational support, maintenance, testing, diagnostics, hosting support, security support, customer support, or service improvement support for MeetWise. Any such support will be provided only as reasonably necessary for the Services and subject to applicable confidentiality, security, privacy, and legal obligations.

By accessing or using MeetWise, you agree to these Terms. If you do not agree with these Terms, you must not access or use the Services.

These Terms apply to meetwiseapp.ca, meetwiseapp.com, related login experiences, admin.meetwiseapp.com where available, the MeetWise mobile application, and any other MeetWise-branded website, page, application, product, tool, or service that links to these Terms.

Privacy Policy

Your use of MeetWise is also governed by the MeetWise Privacy Policy. The Privacy Policy explains how MeetWise collects, uses, discloses, stores, transfers, protects, and handles personal information.

By using the Services, you acknowledge that you have read and understood the Privacy Policy. If you do not agree with the Privacy Policy, you should not use the Services.

Beta Stage Notice

MeetWise is currently offered in a beta stage. Beta means the Services are still being tested, improved, modified, and developed.

During the beta stage, the Services may change frequently and may not be fully tested. Features may be added, changed, restricted, reset, removed, suspended, or discontinued at any time without prior notice.

During beta, we may regularly update our database tables, technical structure, data fields, system architecture, feeds, events, meetings, workspace records, logs, QR records, user interface, admin tools, APIs, and other service data to test new features, improve reliability, fix bugs, prevent abuse, enhance security, and prepare the Services for broader public or commercial release.

These beta-stage changes may result in partial or complete loss, deletion, reset, migration failure, corruption, inaccessibility, or change of certain data, including but not limited to feeds, events, meetings, messages, test content, user preferences, workspace records, beta records, temporary files, analytics, logs, QR records, and feature-related information.

Users are advised to remain aware that MeetWise is a beta-stage application. Users should not rely on MeetWise as the only place to store important, business-critical, legal, financial, emergency, operational, or irreplaceable information. Users should keep their own independent copies or backups of any information that is important to them.

To the maximum extent permitted by applicable law, MeetWise will not be liable for any indirect, incidental, special, consequential, exemplary, business, financial, reputational, operational, loss-of-profit, loss-of-opportunity, loss-of-data, or other losses arising from beta-stage testing, feature changes, database restructuring, table updates, data resets, data loss, interruption, suspension, unavailability, or discontinuation of any part of the Services.

Nothing in these Terms is intended to limit rights or obligations that cannot be limited under applicable law.

Use of the Services

MeetWise provides digital tools for communication, QR-based access, guest chat, events, meetings, scheduling, groups, feeds, workspace coordination, polls, updates, and related community or business communication features.

You may use the Services only for lawful purposes and in accordance with these Terms, the Privacy Policy, applicable laws, and any additional rules, instructions, or notices provided within the Services.

You are responsible for your own use of the Services, including any content you submit, messages you send, QR codes you create or distribute, events you publish, workspace activity you manage, and communications you initiate.

MeetWise may update, modify, limit, suspend, reset, or discontinue any feature at any time, especially during beta. We do not guarantee that any specific feature, design, workflow, data structure, QR function, workspace tool, event feature, feed feature, meeting function, or app experience will continue to be available in the same form.

Account Registration and Security

To use certain features, you may need to create an account or verify your identity through email, phone number, OTP, device verification, or other authentication methods.

You agree to provide accurate, current, and complete information when creating or using an account. You agree to keep your account information updated where required.

You are responsible for maintaining the confidentiality and security of your account, login credentials, OTP access, device access, email access, phone access, and any activity that occurs under your account.

You must notify MeetWise promptly if you believe your account has been accessed without authorization or if your device, OTP, email, phone number, or account access has been compromised.

MeetWise is not responsible for losses arising from your failure to protect your account, device, credentials, OTP access, email, phone number, or communication channels.

Eligibility

You must be legally capable of accepting these Terms in your jurisdiction.

The Services are not intended for individuals under the age of 16, or under the minimum age required by applicable law in your jurisdiction, unless appropriate parent, guardian, or legal consent has been obtained where required.

If you use MeetWise on behalf of a company, organization, community, workspace, employer, institution, or other entity, you represent that you have authority to accept these Terms on behalf of that entity. In that case, “you” may refer to both you personally and the entity you represent.

User Content

You may be able to submit, upload, send, post, display, share, or transmit content through the Services, including messages, text, images, files, event information, meeting information, polls, feeds, profile information, group content, workspace content, QR-related content, and other materials.

You are responsible for the content you submit or share through MeetWise. You represent that you have the necessary rights, permissions, and authority to submit, share, or use that content.

You retain ownership of your content, subject to the rights you grant to MeetWise under these Terms.

By submitting or sharing content through the Services, you grant MeetWise a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, process, reproduce, transmit, display, format, modify, translate, and otherwise use your content only as reasonably necessary to provide, operate, secure, troubleshoot, support, improve, and develop the Services.

This licence allows MeetWise to operate the Services, route messages, display content to intended recipients, support QR experiences, deliver workspace communications, provide customer support, test features, prevent abuse, and maintain system reliability.

MeetWise does not claim ownership of your content.

Content Standards

You must not use MeetWise to submit, send, post, distribute, or promote unlawful, harmful, abusive, threatening, harassing, defamatory, hateful, discriminatory, obscene, sexually exploitative, fraudulent, misleading, invasive, violent, or otherwise inappropriate content.

You must not use MeetWise to impersonate another person or organization, misrepresent your identity, misrepresent your affiliation, deceive users, manipulate QR routing, create fake events, create misleading workspace activity, or misuse the trust of guests, members, admins, customers, employees, contractors, or other users.

You must not upload or distribute malware, viruses, harmful code, spyware, phishing links, credential-harvesting content, or any material intended to interfere with devices, accounts, networks, systems, or the Services.

MeetWise may remove, restrict, block, preserve, report, or disable access to content if we believe it violates these Terms, creates legal or safety risk, affects service integrity, or may harm users, MeetWise, or others.

Acceptable Use

You agree not to misuse the Services.

You must not attempt to hack, reverse engineer, overload, scrape, copy, bypass, disable, interfere with, probe, scan, attack, disrupt, or gain unauthorized access to any part of MeetWise, its systems, APIs, servers, databases, user accounts, QR routing systems, workspace tools, admin tools, or security features.

You must not use bots, scripts, automation, fake accounts, mass messaging, spam, scraping, unauthorized data collection, or other abusive methods unless expressly permitted by MeetWise in writing.

You must not use MeetWise for fraud, scams, illegal sales, illegal services, unlawful surveillance, harassment, stalking, impersonation, phishing, spam, deceptive marketing, unauthorized advertising, or any activity that violates applicable law.

You must not interfere with another user’s use of the Services or attempt to access another user’s account, messages, workspace, QR records, location, files, or personal information without authorization.

QR Codes and Guest Chat

MeetWise may provide QR-enabled features, including QR guest chat, QR access, profile QR, event QR, workspace QR, lost-and-found QR, or other scan-based experiences.

You are responsible for how you create, share, display, print, distribute, or use MeetWise QR codes.

You must not place, publish, or distribute MeetWise QR codes in a misleading, unsafe, unlawful, deceptive, unauthorized, or harmful manner.

You must not use QR codes to impersonate another person, mislead guests, redirect users improperly, collect information unlawfully, harass individuals, promote illegal activity, or create confusion about who will receive a guest message.

Guests who scan a QR code may be connected to a host, admin, member-linked route, event, group, workspace, profile, lost-and-found item, or other destination depending on the feature and configuration.

MeetWise does not guarantee that QR scans, guest messages, routing, notifications, or related communications will always be delivered, available, accurate, immediate, uninterrupted, secure, or error-free.

QR features must not be used as an emergency communication system or as the only method for urgent, safety-critical, medical, legal, workplace-safety, or emergency communications.

Events, Meetings, Groups, Feeds, and Polls

MeetWise may provide tools to create, manage, join, or participate in events, meetings, groups, feeds, polls, updates, invitations, reminders, and related communications.

You are responsible for the accuracy, legality, and appropriateness of any event, meeting, group, feed, poll, invitation, or update that you create or share.

MeetWise does not guarantee attendance, participation, payment, response, delivery, visibility, ranking, promotion, success, safety, or outcome of any event, meeting, group, feed, poll, or communication.

You must not use these features to mislead users, promote unlawful activity, send spam, collect information without proper authority, harass users, or create unsafe situations.

Workspace Mode

MeetWise may offer Workspace Mode for organizations, businesses, teams, communities, employers, contractors, staffing companies, service providers, institutions, and other managed groups.

A workspace admin or owner may invite, add, manage, remove, communicate with, and assign roles to workspace users or members.

Workspace users may be normal MeetWise users who also have access to one or more workspaces.

Workspace admins are responsible for using workspace tools lawfully and appropriately. This includes responsibility for member invitations, internal notices, role assignments, member communication, workspace content, QR use, location settings, admin access, and compliance with workplace, privacy, employment, labour, contractual, safety, and other applicable requirements.

Workspace admins must not use workspace tools for unlawful monitoring, harassment, coercion, discrimination, retaliation, unauthorized surveillance, or any purpose that violates applicable law or the rights of members or other individuals.

If location sharing, member tracking, QR assignment, admin-member communication, or workforce coordination tools are used, the workspace admin is responsible for ensuring that appropriate notice, consent, authority, and internal policies are in place where required by law.

Members may have limited access inside a workspace. Depending on the workspace configuration, members may not be able to see, search, contact, or interact with other members.

Workspace information may be visible to the workspace admin, owner, or authorized representatives of the organization that controls the workspace.

MeetWise is not responsible for the internal decisions, instructions, employment practices, workplace policies, member management, client relationships, contractor relationships, or business operations of any workspace admin or organization.

Location Features

MeetWise may offer location-based features. Location sharing is controlled by device permissions, account settings, workspace settings, or feature settings where available.

If you enable location sharing, MeetWise may process approximate or precise location information to support features such as workspace coordination, QR-related routing, event participation, safety features, local communication, or other app functions.

In Workspace Mode, location information may be shared with the workspace admin only where the feature is enabled and the user has provided the required device permission or consent.

You may disable location permissions through your device settings. Some features may not work properly if location access is disabled.

MeetWise does not guarantee the accuracy, completeness, timeliness, or availability of location information. Location data may be delayed, inaccurate, unavailable, or affected by device settings, network conditions, GPS availability, operating system restrictions, or user permissions.

Freemium, Free Features, and Paid Features 

MeetWise currently operates as a freemium application. This means some features may be available without charge, while other features may be offered as paid, premium, subscription, enterprise, workspace, pilot, hardware-linked, lifetime, promotional, or limited-access features.

Free features may be limited, changed, restricted, suspended, reset, or discontinued at any time, especially during the beta stage. MeetWise does not guarantee that any free feature will remain free, available, unchanged, or unlimited in the future.

MeetWise may introduce, modify, or remove paid features from time to time. Paid features, pricing, billing periods, renewal terms, refund rules, cancellation options, taxes, invoices, and related terms may be shown at the time of purchase or in a separate agreement, invoice, order form, app store listing, subscription page, pilot agreement, or written arrangement.

If a user receives promotional, beta, pilot, discounted, free, lifetime, or early-adopter access to any feature, MeetWise may define the scope, duration, limits, and conditions of that access. Such access does not guarantee that all future features, enterprise features, workspace tools, hardware, integrations, or paid services will be included unless expressly stated in writing by MeetWise.

Unless otherwise stated in writing or required by applicable law, fees are non-refundable once paid.

If payments are processed by a third-party provider, app store, bank, payment gateway, or external platform, that provider’s terms, refund rules, cancellation process, and policies may also apply.

MeetWise may add, remove, change, suspend, reset, or discontinue free or paid features during beta or as part of service development, security updates, business changes, technical restructuring, or legal compliance.

Hardware, QR Tags, and Physical Products

MeetWise may provide or support physical products, QR tags, QR cards, lockets, stickers, badges, labels, or other hardware-linked items.

Physical products may be subject to separate purchase terms, delivery terms, warranty terms, replacement rules, and support limitations.

You are responsible for the safe, lawful, and appropriate use, placement, printing, display, distribution, and maintenance of any QR tag, badge, sticker, card, locket, or related physical item.

MeetWise is not responsible for damage, misuse, loss, theft, unauthorized scanning, improper placement, environmental damage, wear and tear, printing error, third-party modification, or physical misuse of QR-enabled items, except where required by applicable law.

Service Communications and Marketing

MeetWise may send service-related communications, including account notices, OTP messages, security alerts, confirmations, administrative messages, technical updates, beta notices, policy notices, and important service announcements.

Where permitted, MeetWise may send marketing or promotional communications.

If MeetWise sends commercial electronic messages, MeetWise will include required identification information and a reasonable unsubscribe or opt-out mechanism where required by applicable law.

Some service-related communications may be necessary for account security, service operation, legal notices, beta updates, or administrative purposes and may continue even if you opt out of marketing communications.

Third-Party Services and Links

The Services may link to or integrate with third-party websites, services, app stores, payment providers, maps, communication tools, analytics tools, cloud services, or other external platforms.

MeetWise does not own or control third-party services and is not responsible for their content, availability, security, privacy practices, terms, policies, or actions.

Your use of third-party services is governed by the terms and policies of those third parties.

Intellectual Property

MeetWise, including its name, logo, design, software, source code, object code, user interface, workflows, features, databases, QR systems, text, graphics, branding, documentation, and other materials, is owned by MeetWise or its licensors and is protected by applicable intellectual property laws.

These Terms do not transfer any ownership rights in MeetWise intellectual property to you.

You may not copy, modify, distribute, sell, lease, reverse engineer, create derivative works from, or exploit any part of the Services unless expressly permitted by MeetWise in writing or allowed by applicable law.

Feedback and Suggestions

If you provide feedback, suggestions, ideas, requests, bug reports, feature proposals, business suggestions, or other comments about MeetWise, you grant MeetWise the right to use that feedback without restriction, compensation, or obligation to you.

MeetWise may use feedback to improve, modify, market, develop, or operate the Services.

Suspension and Termination

MeetWise may suspend, restrict, disable, or terminate your access to the Services at any time if we believe you have violated these Terms, misused the Services, created security risk, caused legal risk, harmed users, interfered with service operation, misused QR features, abused workspace tools, violated applicable law, or acted in a way that may harm MeetWise or others.

MeetWise may also suspend, restrict, reset, or discontinue access to any feature, account, workspace, QR code, event, meeting, feed, group, or service as part of beta testing, system maintenance, security response, data migration, database restructuring, abuse prevention, legal compliance, or service improvement.

You may stop using the Services at any time. Certain information may remain stored or retained as described in the Privacy Policy, as required for legal, security, backup, fraud prevention, dispute resolution, or operational purposes.

No Emergency Use

MeetWise is not an emergency service, public safety service, medical service, crisis hotline, law enforcement system, workplace safety alert system, or guaranteed communication channel.

You must not rely on MeetWise for emergency communications or urgent safety-critical communications.

If there is an emergency, danger, medical issue, safety issue, crime, or urgent situation, you should contact local emergency services, emergency contacts, workplace safety personnel, or appropriate authorities directly.

No Professional Advice

MeetWise is a technology and communication platform. MeetWise does not provide legal, medical, financial, employment, insurance, security, emergency, professional, or regulatory advice.

Any information available through the Services is for general communication or operational purposes only and should not be relied on as professional advice.

Availability and Service Changes

MeetWise aims to provide useful and reliable Services, but we do not guarantee that the Services will be uninterrupted, secure, timely, accurate, error-free, or available at all times.

The Services may be affected by maintenance, updates, outages, network issues, cloud provider issues, device limitations, browser limitations, operating system restrictions, third-party service failures, security incidents, beta testing, database changes, or other factors.

MeetWise may change, suspend, restrict, replace, reset, or discontinue any part of the Services at any time.

Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, MeetWise disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, security, uninterrupted operation, data integrity, and error-free performance.

MeetWise does not guarantee that the Services will meet your requirements, achieve any specific result, generate business, improve communication, prevent loss, prevent harm, prevent abuse, guarantee attendance, guarantee message delivery, guarantee QR routing, guarantee workspace compliance, or remain available in any specific form.

Limitation of Liability

To the maximum extent permitted by applicable law, MeetWise and its directors, officers, employees, contractors, agents, affiliates, service providers, licensors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, business, financial, reputational, operational, loss-of-profit, loss-of-revenue, loss-of-opportunity, loss-of-goodwill, loss-of-data, service-interruption, or other similar damages arising out of or related to your use of or inability to use the Services.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, statute, equity, or any other legal theory, even if MeetWise has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, MeetWise’s total liability for any claim arising out of or relating to the Services or these Terms will be limited to the amount you paid directly to MeetWise for the Services giving rise to the claim during the three months before the event giving rise to the claim, or one hundred Canadian dollars if you did not pay MeetWise for the Services.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitation will apply only to the maximum extent permitted by law.

Indemnity

You agree to indemnify and hold harmless MeetWise and its directors, officers, employees, contractors, agents, affiliates, service providers, licensors, and representatives from and against any claims, damages, losses, liabilities, costs, expenses, and legal fees arising from or related to your use of the Services, your content, your QR use, your workspace activity, your violation of these Terms, your violation of applicable law, your violation of another person’s rights, or your misuse of the Services.

If you use the Services on behalf of a company, organization, workspace, employer, client, community, institution, or other entity, that entity also agrees to this indemnity to the extent permitted by law.

Changes to These Terms

MeetWise may update these Terms from time to time, including as the Services move from beta to broader availability, as features change, as workspace tools are introduced, as QR services evolve, as legal requirements change, or as business practices develop.

When we update these Terms, we will update the Effective Date or Last Updated date above.

If changes are material, we may provide additional notice within the Services, by email, through the website, or by other reasonable means.

Your continued use of the Services after updated Terms become effective means that you accept the updated Terms.

Governing Law

These Terms are governed by the laws of British Columbia and the applicable laws of Canada, without regard to conflict of law principles.

Subject to any rights you may have under applicable consumer protection or other mandatory laws, disputes arising from or relating to these Terms or the Services will be handled by the courts located in British Columbia, Canada.

Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, that part will be limited or removed to the minimum extent necessary, and the remaining parts will continue in full force and effect.

No Waiver

If MeetWise does not enforce any part of these Terms immediately, that does not mean MeetWise waives the right to enforce that part later.

Entire Agreement

These Terms, together with the Privacy Policy and any additional written terms that apply to specific features, purchases, workspaces, invoices, pilots, subscriptions, or services, form the agreement between you and MeetWise regarding your use of the Services.
